Introduction

Formerly the Hainan Securities Management Office, the “Haikou Securities Regulation Commissioner Office of the China Securities Regulatory Commission (CSRC)” (shortened as the CSRC Haikou Office) was renamed the “Hainan Regulatory Bureau of the CSRC” (shortened as the Hainan Bureau) on March 1, 2004 to reinforce the authority of securities supervision, according to the CSRC Announcement (Zheng Jian Fa [2004] No.17).

The Hainan Bureau’s primary responsibilities are as follows: (1) upon the CSRC’s authorization, to continuously regulate the listed companies, to-be-listed companies, securities and futures companies, securities and futures investment consulting institutions, as well as the accounting firms, law firms and asset appraisal institutions engaged in the securities business within its jurisdiction, to prevent and control market risks, thus ensuring sound development of securities and futures markets; (2) according to law, to investigate and crack down on violation of laws and regulations on the securities and futures markets for investors’ legal rights and interests; (3) to fulfill the system’s joint supervision as required by the unified supervision system.

Six divisions are established under the Hainan Bureau, namely, the General Office, the Party Affairs Office (the Office of Internal Compliance), the Division of listed Companies Supervision, the Division of Intermediary Supervision, the Division of Enforcement and the Division of Futures Supervision.

 

The Hainan Bureau now is composed of 36 personnel, of whom 4 are accounting management cadres, 31 cadres at the division level or below, and 1 worker. Among the 13 personnel at the division level, 9 are leaders at the division level and 4 are non-leaders.

 

The General Office

The primary responsibilities of the General Office are as follows: (1) to fulfill the secretarial and administrative affairs, financial management, information systems and foreign affairs, to organize and handle all the government affairs, work out and introduce the Hainan Bureau’s management rules and perform the daily tasks of the Hainan Bureau’s Labor Union; (2) to handle the administrative license items upon unified acceptance of the applications and send the administrative license decisions; (3) to handle letter visits and complaints in connection with securities and futures and make replies.

The Party Affairs Office (The Office of Internal Compliance)

The primary responsibilities of the Party Affairs Office (the Office of Internal Compliance) are as follows: (1) to implement the Party Committee’s decisions and undertake its daily tasks; (2) to fulfill all the party construction and party affairs; (3) to fulfill the personnel management; (4) to take charge of the study of political theory and ideological publicity; (5) to fulfill the discipline inspection and supervision (6) to fulfill other tasks assigned by the Party Committee.

The Division of listed Companies Supervision

The primary responsibilities of the Division of Listed Companies Supervision are as follows: (1) to supervise over the listed companies within its jurisdiction, mainly focusing on their M&A and restructuring, information disclosure, corporate governance, usage of the raised funds, on-the-spot inspections, as well as refinancing examination and joint supervision; (2) to supervise over the to-be-listed companies; (3) to regulate the securities businesses of the accounting firms, law firms and asset appraisal institutions as well as the personnel engaged in the businesses within its jurisdiction.

The Division of Intermediary Supervision

The primary responsibilities of the Division of Intermediary Supervision are as follows: to regulate activities of securities companies, securities investment consulting institutions and securities investment fund management companies as well as their staff within its jurisdiction; to mainly conduct the on-the-spot and off-site inspections on the securities institutions and review their equity change, and take charge of other issues including opening acceptance, relocation, examinations on senior management’s qualifications and supervision over clients’ trading settlement capital of securities companies; to monitor and control securities companies’ risks, assist in investigating the disputes with and complaints to supervision objects and crack down on illegal securities trading within its jurisdiction.

The Division of Enforcement

The primary responsibilities of the Division of Enforcement are as follows: (1) to investigate violation of laws and regulations on the securities and futures markets within its jurisdiction and issues assigned and claimed by the CSRC’s Enforcement Bureau and other regional bureaus, and urge the performance of the punishment decided by the CSRC; (2) to control the disputes on the securities and futures markets and assist the local arbitration bodies in arbitrating securities and futures disputes; (3) to coordinate with the public security authorities and the industry and commerce department to punish the illegal securities and futures activities within its jurisdiction; and (4) to fulfill the Hainan Bureau’s law consultation, legal popularization and investor education.

The Division of Futures Supervision

The primary responsibilities of the Division of Futures Supervision are as follows: (1) to regulate activities of futures brokerage companies and futures investment advisers, as well as their staff, within its jurisdiction, mainly focusing on the verification of qualifications of futures companies’ directors, supervisors and persons-in-charge of finance and business departments; (2) to examine or approve the establishment of futures companies and other changes within the authorization scope; (3) to conduct annual inspections on futures brokerage companies, and preliminary examinations and annual inspections on their senior management’s qualifications; (4) to supervise over clients’ margin; (5) to prevent and control futures companies’ risks; (6) the assist in investigating the disputes and complaints of supervision objects and illegal futures trading.
