[Administrative Approval Item] Approval for Additional Public Offering of Fund Shares or Extension of Fund Contract for Closed-end Fund
[Provisions applicable to the basis, conditions, procedure and term for the review]
Article 66 of the Securities Investment Funds Law (the Fund Law): a closed-end fund applying for additional public offering of fund shares or extension of fund contract shall meet the following criteria, in addition to approval from the securities regulatory body under the State Council: (1) sound business performance; (2) no administrative penalties or legal punishments imposed against the fund manager for violations of laws or regulations for the past 2 years; (3) approval of the fund holders’ general meeting on relevant resolutions; (4) other conditions stipulated by the Fund Law.
[List of Application Documents and Templates of Application Form]:
(1) application letter;
(2) relevant resolutions passed at the fund holders’ general meeting;
(3) opinions of the fund custodian on the additional public offering of fund shares or extension of fund contract;
(4) statement proving that the fund manager is in full compliance with applicable laws and regulations
(5) statement proving that the fund custodian is in full compliance with applicable laws and regulations
(6) fund performance statement
(7) a draft of the prospectus in connection with the additional offering or a draft of the announcement on the extension of fund contract
(8) legal opinion issued by a law firm
(9) other material required by the CSRC
