We are in receipt of your “Report on Inspection and Approval of the Business Opening of Tian Cheng Futures Co., Ltd. “ (No.54 [2003] Beijing Office CSRC) and the supporting materials. Pursuant to the Administrative Measures on Futures Brokerage Houses and Circular on Promulgation of Reporting Procedures for Establishing Futures Companies and Business Branches (No.15 [2000] CSRC), approvals for the following are hereby given after our review of the foregoing documents:
1. the business opening of Tian Cheng Futures Co., Ltd.
2. the registered capital of CNY 36 million of Tian Cheng Futures Co., Ltd., of which, CNY 15.12 million comes from Beijing China National Cotton Exchange Corporation, accounting for 42% of the registered capital, CNY 9 million from Huafu Trading Development Group Co., Ltd., accounting for 25%, CNY 4.5 million from Wuhan Yingpeng Cotton Co., Ltd., accounting for 12.5%, CNY 3.6 million from Hunan Cotton And Ramie Group Corporation, accounting for 10%, CNY 1.98 million from Chinese Nation Cotton Corporation, accounting for 5.5%, CNY 1.8 million from Jiangxi Cotton And Ramie Group Corporation, accounting for 5%. It has been verified by China Rightson Certified Public Accountants (No.20007 [2003], China Rightson) that CNY 36 million registered capital ofTian Cheng Futures Co., Ltd. Has been fully paid. .
3. the Articles of Association of Tian Cheng Futures Co., Ltd.
4. the senior management qualification of Mr. Shi Jianwei with Tian Cheng Futures Co., Ltd. and the appointment of Mr. Shi Jianwei as the board chairman& general manager of Tian Cheng Futures Co., Ltd.
5. the business scopes of Tian Cheng Futures Co., Ltd.: Futures brokerage, futures information consulting and training.
6. the domicile of Tian Cheng Futures Co., Ltd. : 5/F, Block C, Tongtai Mansion, No.33, Finance Street, Xicheng District, Beijing City.
Upon receipt of this approval, please notify Tian Cheng Futures Co., Ltd toclaim the Futures Business License from the CSRC, and carry out the relevant filing procedures with the registration authority for industry and commerce.
